Welcome to Screen Pulse. These Terms & Conditions (“Terms”) govern your access to and use of the Screen Pulse platform, services, and any related hardware (the “Service”). By using our Service, you agree to these Terms. If you do not agree, you must not use the Service.

1. Definitions

  • “Customer”, “you”: The person or entity using the Service.
  • “Screens”: Display devices linked to the Service.
  • “Content”: Media or materials uploaded, published, or displayed through the Service.
  • “Subscription”: Paid access (monthly or yearly) to the Service.
  • “Hardware”: Devices supplied by Screen Pulse where applicable.
  • “End User”: A customer of our Customer (e.g., a restaurant patron) who interacts with the Customer's Screen Pulse-powered Customer Capture forms, Spin Wheels, or SMS campaigns.
  • “SMS Service”: The text-messaging functionality of the Service that allows Customers to send marketing and transactional SMS messages to opted-in End Users.
  • “Connected Platform”: A third-party account or service (such as a Facebook Page or Instagram Business account) that you link to the Service.
  • “Platform Data”: Information Screen Pulse obtains from a Connected Platform's APIs on your behalf (such as reviews, comments, Page information, and media).

2. Service Overview

Screen Pulse provides a cloud-based digital signage solution that allows businesses to manage, schedule, and display content across connected screens. We may also provide compatible hardware for certain use cases.

In addition to digital signage, Screen Pulse offers reputation and social-engagement features (“SP Reputation” and “SP Engage”), AI-assisted menu and content design (“AI Menu Studio”), and social publishing (“Social Posts”). These features allow you to connect your own Facebook Page and linked Instagram Business/Creator account to view and respond to reviews, analyze feedback, manage your business listing, and publish or schedule content to your own social accounts.

3. Account Registration

  • You must provide accurate information during registration.
  • You are responsible for safeguarding your account credentials and all activities under your account.
  • We may suspend or terminate accounts found to be misused or fraudulent.

4. Subscription, Fees & Payment

  • Subscriptions are billed monthly (with optional yearly discounts).
  • Payment is due in advance via the methods displayed on our platform.
  • Trials may be offered at our discretion.
  • Fees are exclusive of applicable taxes (e.g., sales and use tax).
  • Refunds are not generally provided, except as required by applicable law or at our discretion.

5. Content Ownership & Licenses

  • You retain ownership of all Content you upload.
  • By using the Service, you grant Screen Pulse a worldwide, royalty-free licence to use, reproduce, adapt, and display your Content for the purposes of providing, maintaining, improving, or marketing the Service (with or without alterations).
  • You represent that you have all rights necessary to upload and display such Content

6. Hardware

  • If Screen Pulse supplies hardware, it is subject to additional terms, including warranty and shipping policies.
  • Customers are responsible for shipping costs, import duties, and taxes unless otherwise agreed.
  • Hardware warranties do not cover misuse, unauthorized modifications, or damage caused by external factors.

7. Acceptable Use

You agree not to:

  • Upload or display unlawful, infringing, or harmful content.
  • Attempt to gain unauthorized access to our systems.
  • Interfere with or disrupt the Service.
  • Send SMS messages to End Users who have not affirmatively opted in via the Customer Capture flow, or continue sending SMS messages to an End User after they reply STOP.

Violation may result in account suspension or termination.

8. Data & Privacy

  • Customer data and Content are stored on servers located in the USA.
  • We process personal data in accordance with our Privacy Policy.
  • You are responsible for ensuring your Content complies with data protection laws applicable to your operations.

8a. SMS Messaging Program

The SMS Service enables Customers to send SMS messages to End Users who have opted in via Screen Pulse's Customer Capture or Spin Wheel web forms.

Opt-in: End Users opt in by entering their mobile phone number on a Screen Pulse Customer Capture form (accessible via campaign URL or QR code displayed at the Customer's location) and affirmatively checking an SMS consent checkbox that is unchecked by default. The disclosure shown beside the checkbox reads: "I agree to receive SMS marketing messages from [Business Name]. Message and data rates may apply. Reply STOP to unsubscribe, HELP for help."

Customer responsibilities for SMS: As a Customer of Screen Pulse, you agree that:

  • You will only send SMS messages to End Users who have affirmatively opted in via the Customer Capture flow.
  • You will not use the SMS Service to send unsolicited messages, spam, or messages containing prohibited content (see Section 7 "Acceptable Use" and the SHAFT-C categories: Sex, Hate, Alcohol, Firearms, Tobacco, Cannabis — unless properly age-gated and authorized).
  • You will honor STOP requests immediately and stop sending messages to any End User who opts out.
  • You will maintain accurate records of opt-in consent.
  • You will comply with all applicable laws including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and CTIA Messaging Principles and Best Practices.

End User commands:

  • Reply STOP to unsubscribe.
  • Reply HELP for support.
  • Reply START or UNSTOP to re-subscribe.

Frequency: Message frequency varies by Customer. Typical volume is up to 4 messages per month per opted-in End User.

Costs: Message and data rates may apply per the End User's wireless carrier plan.

Carriers: Carriers are not liable for delayed or undelivered messages. Message delivery is not guaranteed.

Third-party sharing: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Phone numbers collected via the SMS Service are used only to deliver SMS messages from the business the End User opted in with, and are not sold, rented, or transferred to any third party for marketing.

Suspension for non-compliance: Screen Pulse reserves the right to suspend or terminate a Customer's access to the SMS Service immediately if the Customer violates this Section, applicable law, or carrier policies.

8b. Social Media Integrations (Facebook & Instagram)

If you connect a Facebook Page or Instagram Business/Creator account to the Service, you represent and agree that:

  • You are authorized to connect and manage that Page/account and to grant Screen Pulse the requested permissions.
  • You will use the reputation and publishing features only for accounts you own or are authorized to manage.
  • You will not use the Service to publish unlawful, infringing, deceptive, or prohibited content, or to post, reply, or engage in any way that violates Meta's terms or policies.
  • Content you publish through the Service to your Connected Platforms is your responsibility, and you have all rights necessary to publish it.
  • You may disconnect a Connected Platform at any time; doing so stops further access and removes the Platform Data we hold for that connection, as described in our Privacy Policy.

Screen Pulse accesses and uses Platform Data in accordance with the Meta Platform Terms and Developer Policies and our Privacy Policy. Meta is not a sponsor of, and is not responsible for, the Service. Availability of these features depends on the Connected Platform's APIs and may change if the platform changes or discontinues access.

9. Termination & Suspension

  • Either party may terminate a subscription at the end of a billing cycle.
  • We may suspend or terminate accounts for:
    • Non-payment
    • Misuse or breach of these Terms
    • Uploading prohibited content
    • Legal or regulatory requirements
  • Upon termination, access ceases and we may delete your Content from our servers.

10. Disclaimers & Limitation of Liability

  • The Service is provided “as is” and “as available” without warranties of any kind.
  • We do not guarantee uninterrupted or error-free operation.
  • To the maximum extent permitted by law, Screen Pulse shall not be liable for indirect, incidental, or consequential damages.
  • Our total liability in any case is limited to the amount paid by you to Screen Pulse in the 12 months preceding the claim.

11. Confidentiality

Both parties agree to maintain confidentiality of any proprietary information shared under these Terms, except as required by law.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of US. Any disputes, claims, or proceedings arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Newark, DE 19713, US.

13. Force Majeure

Screen Pulse is not liable for delays or failures due to events outside our reasonable control (natural disasters, internet outages, government actions, etc.).

14. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or in-platform notice at least 30 days prior to taking effect. Continued use of the Service after updates constitutes acceptance.
